Art. 1. Purpose and definitions

These Terms of Sale ("Terms") govern all contractual relations between the Publisher and any individual or entity subscribing to the GoMySeo service available at gomyseo.com.

Definitions

These Terms prevail over any other contractual document. Any conflicting terms put forward by the Client are unenforceable against the Publisher. Any subscription implies full and unreserved acceptance of these Terms of Sale as well as the Terms of Use (CGU) available on the site.

Art. 2. Service description and availability

Nature of the service

GoMySeo is SaaS (Software as a Service) software offering a set of tools to support SEO analysis and strategy. Features include: technical and semantic SEO audits, local Google Maps ranking visualization (GBP Heatmap), presence analysis in generative search engines (GEO and AEO), Google algorithmic risk audit, keyword research, inbound link (backlink) profile analysis, and search-engine-optimized content generation.

The Service partially relies on third-party data sources not owned by the Publisher. This data may change, be temporarily unavailable, or be modified independently of GoMySeo, without this engaging the Publisher's liability.

Obligation of means

The Publisher undertakes to implement all reasonable means to ensure the continuity, quality and security of the Service. This commitment is an obligation of means, not an obligation of result. In particular, no guarantee of commercial results, ranking, traffic or SEO performance is granted (see Article 9).

Availability and maintenance

The Publisher strives to maintain an indicative availability rate of 99% per calendar month, excluding scheduled maintenance and force majeure events. This rate is not contractually guaranteed and does not constitute an obligation of result.

Art. 3. Credit pricing and payment terms

Credits subscription system

GoMySeo operates on a recurring credits subscription, billed monthly or annually at the Client's choice. The Client selects a credit tier when subscribing and may change tier or billing frequency at any time (Article 6). The subscription may be cancelled at any time, in a few clicks (Article 5).

Subscription tiers (monthly price): 200 credits — €20/mo · 500 credits — €50/mo · 1,000 credits — €98/mo · 2,000 credits — €192/mo · 5,000 credits — €460/mo. The annual price equals 10× the monthly price (2 months free). Base reference rate: €1 = 10 credits.
Credit cost per feature

The cost of each feature is expressed in credits and displayed on the purchase page as well as in the client area. For reference, the table below shows the cost per analysis at the time these Terms were published. These credit prices may change under the conditions defined in Article 7:

Payment methods

Art. 4. Free credits at signup

Free signup: every new user automatically receives 10 free credits when creating their account, with no card registration or purchase commitment, and no time limit.
How it works

Upon account creation, the Client automatically receives 10 credits, usable with no expiry date to try the Service's features (audits, analyses, content generation, etc.), according to the credit cost specific to each feature.

One-time free credits

The 10 free credits are granted once per Client, identified by their email address. Any attempt to create multiple accounts to obtain additional free credits is considered abusive use of the Service and may result in the deactivation of the accounts concerned.

Additional bonus credits

The Publisher may, at its discretion and without contractual commitment, offer additional bonus credits during occasional promotions. These free credits are subject to the same terms of use as purchased credits, but their validity may be time-limited, in which case the validity period is stated at the time they are granted.

Art. 5. Credits subscription — monthly or annual, cancel anytime

No minimum commitment: although it is a recurring subscription, the Client may cancel it at any time, in a few clicks from their client area, in accordance with French law n°2023-590 of June 30, 2023. Cancellation takes effect at the end of the current billing period; no minimum term is imposed.

The Client may cancel their subscription at any time, in a few clicks, from their client area (Stripe billing portal) or by contacting contact@gomyseo.com, in accordance with the French right to cancel online subscriptions in three clicks (law n°2023-590).

Credits acquired before the subscription was introduced

Clients who purchased credits under the former one-time payment system, before the subscription was introduced, keep the full benefit of those credits. They remain valid with no expiry date and usable independently of any subscription, until used up. These credits form a balance distinct from subscription credits and are consumed separately.

Suspension or deactivation by the Publisher

The Publisher reserves the right to suspend or deactivate access to the Service, with or without notice depending on severity, in the following cases:

If the Publisher suspends the account for Client fault, remaining credits may be permanently lost without refund.

Art. 5 bis. Additional one-time credits, on top of the subscription

In addition to the recurring subscription described in Article 5, a Client with an active, ending, or payment-issue subscription (Article 5) may purchase additional credits for a single one-time payment, to cover a temporary need beyond their subscribed monthly volume. This purchase is not a subscription: it is billed once, with no recurrence, and does not renew automatically.

Art. 6. Renewal and tier changes

The subscription renews automatically at each billing period (monthly or yearly): the Client's card is charged and the subscribed credit tier is granted, until the Client cancels (Article 5).

Art. 7. Right to modify the offer

The Publisher reserves the right to modify at any time the plans, prices, features, quotas, interface, design or any aspect of the Service, without this constituting a breach of contract. The following conditions apply depending on the nature of the change.

In these cases, the Publisher notifies the Client by email with 30 days' notice before the change takes effect. Credits already purchased remain usable at the rates in effect when purchased or at the new rates, depending on the change. Continued use of the Service after the notice period expires constitutes full acceptance of the new terms.

7.3 Evolution of third-party data

The Service integrates data from third-party providers (DataForSEO, RankParse, Google Maps Platform, Anthropic Claude API, among others). These providers may change their APIs, pricing or availability independently of the Publisher. Such a change may require the Publisher to adapt certain features or replace a data provider. These adaptations do not constitute substantial changes within the meaning of this article, insofar as they aim to maintain an equivalent level of service.

Art. 8. Right of withdrawal

8.1 Legal principle (individual clients)

In accordance with article L221-18 of the French Consumer Code, clients acting as consumers (individuals) benefit in principle from a 14-day withdrawal period from the conclusion of the contract, without having to justify any reason or pay any penalty.

8.2 Legal exception and express waiver
In accordance with article L221-28 of the French Consumer Code, the right of withdrawal does not apply to digital content and services provided with immediate performance, once the consumer has expressly and previously waived this right.

When subscribing, the Client must check two separate, non-pre-checked boxes. The first constitutes acceptance of these Terms of Sale and the Legal Notice, and acknowledgment that the subscription is recurring: the Client's card will be charged automatically at the start of each billing period (monthly or yearly, as selected) until cancelled, and that the Client can cancel at any time, in a few clicks, with no obligation — subscription credits for the period already paid remain usable until the end of that period. The second is the express waiver of the right of withdrawal for each billing period, worded as follows:

"I expressly request that each period's credits be made available immediately upon payment, and I acknowledge that I am waiving my 14-day withdrawal right under Article L221-28 of the French Consumer Code for each such delivery, since the credits are provided and available immediately."

Without both boxes checked, the payment button remains disabled and no subscription can be started.

8.3 Application to each billing period

The express waiver of the right of withdrawal applies to each billing period of the subscription (monthly or yearly), once the Client has checked the box provided for in article 8.2 and that period's credits are immediately available on their account after payment is validated. As the Service is provided digitally with immediate performance, no refund can be granted under the right of withdrawal for a billing period already charged and whose credits have been granted.

8.4 Business clients

In accordance with article L221-3 of the French Consumer Code, the provisions relating to the right of withdrawal do not apply to clients acting within the scope of their professional activity. No right of withdrawal is granted as a matter of course to business clients.

Art. 9. No guarantee of results whatsoever

GoMySeo is a decision-support tool, not a guarantee of commercial results. No promise of ranking, traffic, position or performance is made or implied by subscribing to a GoMySeo plan.

The Publisher does not guarantee, under any plan or in any respect, the following results:

Use of the Service may result in an improvement, stagnation or decline in the Client's search rankings. These outcomes depend on factors entirely outside the Publisher's control, notably:

The Client expressly acknowledges having subscribed to the Service with full knowledge and without relying on any promise of results, implicit or explicit.

Art. 10. Liability and limitation of liability

10.1 Liability cap

The Publisher's total liability under these Terms of Sale, for any cause whatsoever, is capped at the amounts actually paid by the Client to the Publisher during the 12 months preceding the triggering event of the claimed damage.

The Publisher cannot be held liable for:

The Client is solely responsible for how they use the data, analyses and content generated by the Service. It is up to the Client to verify the relevance of recommendations to their specific situation before making any decision. The Publisher cannot be held jointly liable for the consequences of those decisions.

Art. 11. Intellectual property

11.1 Publisher's rights

The Publisher is and remains the sole owner of all intellectual property rights relating to the GoMySeo Service, notably:

Subscribing grants the Client a personal, non-exclusive right to access and use the Service, for the duration of the subscription and within the applicable quota limits. This right is non-transferable and cannot be sublicensed.

11.2 Client's rights

The Client remains the sole owner of the data they submit to the Service (URLs analyzed, business names, keywords, generated content, etc.). The Publisher claims no ownership right over this data.

The Publisher is authorized to use Client data in an anonymized and aggregated form to improve the Service, without this allowing the Client to be individually identified.

Art. 12. Personal data protection (GDPR)

In accordance with Regulation (EU) 2016/679 (GDPR) and the French Data Protection Act, the Client has the following rights: access, rectification, erasure, restriction of processing, portability and objection. These rights may be exercised by sending a request to contact@gomyseo.com. A response is provided within 30 calendar days. If dissatisfied with the response, the Client may lodge a complaint with the CNIL (www.cnil.fr).

Art. 13. Security and hosting

The Service is hosted on servers located within the European Union. The Publisher implements the following technical and organizational security measures:

The Publisher cannot be held liable for a security breach occurring at a third-party subprocessor (host, Stripe, API providers) that has met its own security obligations. In the event of a personal data breach likely to result in a high risk to the Client's rights and freedoms, the Client will be notified as soon as possible, in accordance with article 34 of the GDPR.

Art. 14. Force majeure

The Publisher cannot be held liable for a failure to fulfill its contractual obligations resulting from a force majeure event within the meaning of article 1218 of the French Civil Code, i.e. any unforeseeable, irresistible event external to the Publisher. The following are notably considered force majeure events, without this list being exhaustive:

The Publisher notifies the Client as soon as possible of a force majeure event and strives to restore the Service as quickly as possible. If force majeure continues beyond 30 calendar days, the Client may cancel their subscription at no cost.

Art. 15. Changes to these Terms of Sale

The Publisher reserves the right to modify the text of these Terms of Sale at any time. Any change is notified to the Client by email at the address registered in their account, with a minimum notice of 15 days before it takes effect.

The updated version is published at gomyseo.com/cgv.php with an indication of the last-updated date.

Continued use of the Service after the notice period expires constitutes acceptance of the new Terms of Sale. If the Client refuses the new Terms, they have the right to cancel their subscription at no cost before the effective date.

Art. 16. B2B and B2C specific provisions

16.1 Individual clients (consumers)

Individual clients acting outside any professional activity benefit from all protections granted by consumer law, notably the framed waiver of the right of withdrawal for digital content with immediate performance under the conditions of Article 8, and the mediation provisions of Article 17.

16.2 Business clients

Legal entities or individuals acting within the scope of their professional activity acknowledge that these Terms of Sale govern all of their relations with the Publisher, to the exclusion of any other commercial document. They notably confirm:

Business clients with an intra-community VAT number or a SIRET may enter it in their client area to have it mentioned on their invoices. It is up to them to verify the tax rules applicable in their country.

Art. 17. Consumer mediation

This article applies exclusively to individual clients (consumers).

In the event of a dispute with GoMySeo, the Client is invited to first contact the Publisher at contact@gomyseo.com. The Publisher undertakes to respond within 10 business days.

In accordance with the provisions of the French Consumer Code concerning consumer dispute mediation, after contacting us and in the absence of a satisfactory response, you may use a free consumer mediation procedure with:

The mediator must be referred to within one year of the written complaint sent to the Publisher. The mediation procedure is free for the consumer. The Client remains free to accept or refuse the solution proposed by the mediator.

Art. 18. Applicable law and jurisdiction

These Terms of Sale are governed by French law.

Individual clients (consumers)

In the event of a dispute not resolved amicably or through mediation, the competent jurisdiction is the civil court of the defendant's place of residence, in accordance with the territorial jurisdiction rules applicable to consumer disputes.

Business clients

For any dispute between the Publisher and a business client, the parties expressly agree to the exclusive jurisdiction of the Commercial Court of Caen (Calvados, France), notwithstanding multiple defendants or third-party proceedings, including for summary proceedings.

Art. 19. Additional provisions

These Terms of Sale must be read together with:

Should any provision of these Terms of Sale be declared void or unenforceable by a competent court, the remaining provisions shall remain in full force. The Publisher and the Client would then undertake to replace the void provision with a lawful provision as close as possible to the parties' original intent.

The fact that the Publisher does not, at a given time, invoke a provision of these Terms of Sale cannot be interpreted as a waiver of the right to invoke it later.
